These Terms and Conditions ("Terms") govern your access to and use of the Avelis, Inc. platform and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use our Services.

1. About Avelis, Inc.

1.1 Company Overview
Avelis, Inc. is a service provider that assists patients in reviewing, analyzing, and negotiating their medical bills. Our Services are designed to identify billing errors, dispute overcharges, and negotiate reductions with healthcare providers to lower patients’ medical expenses. Our operations are supported by a combination of human expertise and advanced technology, including artificial intelligence, to enhance accuracy and efficiency.

1.2 HIPAA Compliance and Data Protection
Avelis, Inc. operates in accordance with the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and its implementing regulations. In our role as a Business Associate to covered entities, we adhere to stringent policies and procedures regarding the use, disclosure, and protection of Protected Health Information ("PHI"). Our Privacy and Security Policies and Breach Notification Plan, govern the collection, storage, processing, and transmission of PHI in our Services. All workforce members with access to PHI are required to comply with these policies, and any breach of unsecured PHI will be addressed in accordance with applicable breach notification laws.

2. Acceptance and Modification of Terms

2.1 Acceptance
By using the Services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Services.

2.2 Modifications
Avelis, Inc. reserves the right to modify, amend, or update these Terms at any time, with or without notice. Continued use of the Services after any changes constitutes your acceptance of the revised Terms.

3. Description of the Services

3.1 Scope of Services
Avelis, Inc. provides professional services to review, analyze, and negotiate medical bills on behalf of patients. Our Services include, but are not limited to:

  • Identifying billing errors and discrepancies in medical bills;

  • Disputing overcharges with healthcare providers; and

  • Negotiating cost reductions to lower patients’ medical expenses.

3.2 Technology and Artificial Intelligence
The Services are delivered using a combination of human expertise and advanced technology, including artificial intelligence. The AI tools employed assist in data analysis and in identifying potential discrepancies; however, final decisions and negotiations are subject to human review.

3.3 Service Availability
Avelis, Inc. will use commercially reasonable efforts to ensure continuous access to the Services; however, uninterrupted or error-free operation is not guaranteed. Scheduled maintenance, updates, and unforeseen circumstances may affect service availability.

4. Data Ownership, Privacy, and Security

4.1 Data Ownership
You retain ownership of all data you provide to the Services. By using the Services, you grant Avelis, Inc. a non-exclusive, worldwide, royalty-free license to process, store, and use your data solely for the purpose of providing and improving the Services.

4.2 Privacy and Use of Personal Information
Avelis, Inc. collects, uses, and safeguards your personal and medical billing information in accordance with our Privacy Policy and applicable laws, including HIPAA. You are responsible for ensuring that any data you provide complies with all applicable legal requirements.

4.3 Security Measures
Avelis, Inc. employs appropriate technical, administrative, and physical safeguards to protect your data and PHI. These measures include, but are not limited to, encryption in transit and at rest, access controls, and continuous system monitoring. In the event of a data breach involving unsecured PHI, our HIPAA Breach Notification Plan will be activated, and affected parties will be notified in accordance with applicable law.

5. Registration and Account Security

5.1 Account Registration
To access the Services, you must register and provide accurate, current, and complete information as prompted during the registration process. You agree to update this information as necessary to maintain its accuracy.

5.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Avelis, Inc. immediately if you suspect any unauthorized use of your account.

6. Payment and Billing

6.1 Payment Terms
Certain features of the Services may be subject to fees. By subscribing to or using any fee-based features, you agree to pay all applicable charges as outlined at the time of purchase. All fees are non-refundable unless otherwise stated or required by law.

6.2 Billing Information
You agree to provide accurate billing information. Avelis, Inc. reserves the right to suspend or terminate your access to the Services in the event of non-payment or disputes regarding payment.

6.3 Payment Authorization and Recurring Charges
By using the Services, you authorize Avelis, Inc. to initiate one‑time or recurring payments on your behalf under these terms:

  1. Customer consent – Each time you click “Pay,” “Confirm,” or similar, you consent to the specified transaction using your stored payment method.

  2. Timing and frequency –
    • Lump‑sum transactions process immediately after you approve the negotiated amount.
    • Installment plans process on the schedule shown at checkout until the balance is paid.
    • Subscriptions renew automatically at the cadence shown (typically monthly) until cancelled.

  3. Amount determination – Each charge equals the negotiated balance, the installment amount shown, or the subscription fee disclosed at checkout, plus taxes or lawful processing fees.

  4. Cancellation policy for subscriptions – Cancel any time via your dashboard or by emailing support@avelis.co at least three (3) business days before the next charge. Cancellation stops future recurring payments; completed transactions remain non‑refundable except as required by law.

  5. Payment processor (Stripe) – All card transactions are processed by Stripe, Inc. We share your name, billing address, email, limited card details (e.g., last four digits, expiration), transaction amount, and related metadata with Stripe solely to process payments, prevent fraud, and comply with legal obligations. Stripe’s use of your data is governed by its own privacy policy.


7. Prohibited Conduct

You agree not to use the Services for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Services. Prohibited activities include, but are not limited to:

  • Submitting false, inaccurate, or fraudulent information;

  • Reverse-engineering, decompiling, or otherwise attempting to extract the source code of our software;

  • Transmitting any malicious or harmful code;

  • Interfering with the operation or security of the Services; and

  • Accessing the Services through unauthorized means.

Any violation of these provisions may result in immediate termination of your access to the Services and may subject you to legal action.

8. Intellectual Property

8.1 Ownership
All intellectual property rights in the Services, including software, algorithms, user interfaces, and trademarks, are owned by Avelis, Inc. You are not permitted to use any of Avelis, Inc.'s intellectual property without prior written consent.

8.2 User Content
You retain ownership of any content or data you provide to the Services. However, you grant Avelis, Inc. a license to use, display, and modify your content as necessary to operate and improve the Services.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis without any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Limitation of Liability
To the fullest extent permitted by law, Avelis, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. In no event shall Avelis, Inc.'s total liability for any claim related to these Terms or the Services exceed the amount paid by you for accessing the Services during the three (3) months immediately preceding the claim.

10. Termination

10.1 Termination by You
You may terminate your account at any time by following the procedures provided within the Services.

10.2 Termination by Avelis, Inc.
Avelis, Inc. reserves the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including for violation of these Terms.

10.3 Effect of Termination
Upon termination, all licenses granted under these Terms will immediately terminate, and you must cease all use of the Services. Avelis, Inc. shall have no obligation to provide you with any data or content after termination, except as required by law.

11. Dispute Resolution and Governing Law

11.1 Dispute Resolution
Any disputes arising out of or relating to these Terms or your use of the Services shall be resolved through binding arbitration in accordance with applicable law. Each party waives any right to participate in a class action or to bring a claim in a court of general jurisdiction.

11.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Avelis, Inc. is headquartered, without regard to its conflict of laws provisions.

12. General Provisions

12.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Avelis, Inc. regarding the use of the Services.

12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver
The failure of Avelis, Inc. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment
Avelis, Inc. may assign or transfer its rights and obligations under these Terms without notice. You may not assign these Terms or any rights or obligations hereunder without the prior written consent of Avelis, Inc.
